GENERAL TERMS AND CONDITIONS
All sales of goods and services are governed by these Terms and Conditions, which supersede any verbal communications and any other contradictory policy appearing on this website elsewhere.
Governing Law and Jurisdiction
Disputes arising out of or related to these Terms and Conditions or transaction between NorthStar Solutions, LLC and Customer shall be governed by the laws of the State of Texas regardless of conflicts of law rules. NorthStar Solutions, LLC ("NorthStar", "we", us", "our") and Customer ("you", "your") consent to resolve any dispute under the exclusive jurisdiction and the venue of the State Courts of the State of Texas, Denton County. You agree not to bring any legal actions, including contract, equity, and tort, against NorthStar that is more than one year after the date of purchase.
Pricing and Payment
Although our web site displays alternate currencies for convenience, all transactions are conducted in U.S. currency. NorthStar uses the exchange rate quoted by the European Central Bank (or the United States Federal Reserve if the European Central Bank quotes are not available) to provide alternate currency quotes; however, these quotes are for informational purposes only since currency exchange rates may fluctuate. Customer understands and assumes all responsibility for ensuring the exchange rate quoted is consistent with the terms of their own bank and/or credit card issuer.
We reserve the right to adjust specifications and prices without notice. We are not responsible for errors in pricing or other errors appearing on our site. We reserve the right to correct errors appearing on this site. Customer is responsible for all applicable federal, state (Texas), local taxes or duties. Total amount due will include shipping and handling charges. Customer agrees to pay amount due on the invoice. On all past-due accounts, the customer agrees to pay interest at the maximum allowable rate under applicable law and for collection costs, including attorney's fees, court and any other costs involved in the collection of past due accounts. NorthStar retains a purchase money security interest in the goods, including all accessions to and replacements of the goods, until the Customer has made the payment in full. The Customer agrees to fully cooperate with NorthStar in all procedures (such as completing a Uniform Commercial Code financing statement and accomplishing such filing or recordings) NorthStar deems necessary to protect its purchase money
Orders are not binding until accepted by NorthStar; payments must be received before an order will be accepted. We reserve the right to defer shipments or cancel unshipped orders if the Customer fails to make payments in accordance with our Terms. NorthStar reserves the right to review all orders; regardless of any confirmation receipt sent to the customer, we may accept or decline any order
for any reason.
NorthStar accepts the following payment methods: Visa, MasterCard, Discover, American Express, Paypal, Cashier Check or Money Order.
Please note that cash payments are discouraged and liability for proper delivery of such payments is entirely on the Customer/sender of any such payment. Due to banking fees, NorthStar does NOT accept checks that are not drawn on a U.S. bank account..
Limitation of Liability
ALL PRODUCTS SOLD ARE PROVIDED BY NORTHSTAR SOLUTIONS, LLC "AS IS" AND
"WITH ALL FAULTS." WE MAKE NO REPRESENTATIONS OR WARRANTIES
OF ANY KIND CONCERNING THE QUALITY, SAFETY OR SUITABILITY OF THE PRODUCTS, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, OR NON-INFRINGEMENT. ANY IMAGES SHOWN ARE FOR REPRESENTATIONAL PURPOSES ONLY. IN THE EVENT THAT ACTUAL IMAGES OF PRODUCTS OR SHIPPING MATERIAL ARE NOT READILY AVAILABLE, WE RESERVE THE RIGHT TO SUBSTITUTE A SIMILAR IMAGE FOR REPRESENTATIONAL USE.
NORTHSTAR SOLUTIONS, LLC'S MAXIMUM LIABILITY IS LIMITED TO THE PURCHASE PRICE OF PRODUCTS SOLD. IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE LOSS OR DAMAGES OF ANY CHARACTER IN CONTRACT, TORT, INDEMNITY OR CONTRIBUTION.
Titles to products being purchased are retained by NorthStar until products are paid for by the purchaser. Certain digital products (software, e-books, etc.) may be delivered via download or e-mail. Physical products that are shipped will be shipped F.O.B. shipping point, meaning title and risk of loss passes to purchaser upon delivery to the carrier. NorthStar will provide estimated shipping dates but we will, under no circumstances, be responsible for delays or damages associated with delivery due to events beyond
reasonable control, including but not limited to acts of a higher being or public enemy, Internet unavailability (by either purchaser, NorthStar, or an intermediary point), acts of federal, state or local government, civil disobedience, natural disasters, fires, freight embargoes, lockouts and strikes.
Digital Millennium Copyright Act (DMCA)
NorthStar follows the procedures prescribed by the Digital Millennium Copyright Act (DMCA) for notification, takedown, and counter-notification. If you believe that a person or business that is working with NorthStar has a product that constitutes infringement of your copyrights, or if any of your other intellectual property rights have been violated, please provide the following information to us:
- A description of the copyrighted work and where the original work is located.
- A description of where the infringement is located.
- A statement by you that you have a good faith belief that the use of the work is not authorized by the copyright owner, agent, or the law.
- A statement by you, that under penalty of perjury, that the above information is accurate and that you are the copyright owner or fully authorized to act on behalf of the owner.
- Your full name, address, telephone number, and email address.
- Your legal electronic or written signature.
NorthStar Solutions respects your privacy, which means we will keep all information collected on our web site strictly confidential. We will not sell or release your information to any third parties, except to provide information to providers of products you purchase so that they may fill your order and communicate important information related to your purchase, or when you agree to sign up for our newsletter to receive information about valuable discounts that may interest you. We may also release information if we are compelled by law to do so (which has never happened in the many years we have been in business).
POLICIES AND AGREEMENT
Price, specification, and terms are subject to change without notice. NorthStar is not responsible for typographical errors. We reserve the right to refuse to sell a product to a Customer at a price that is wrongly priced on our site. NorthStar does not offer technical support or warranty. Products sold come with original manufacture warranty.
All orders must be reviewed and accepted. Orders will be processed as soon as possible, often just moments after receipt; but may take one to three business days if further confirmation of the payment is necessary. Some orders may be delayed if items are not in stock.
Please contact us via E-MAIL to request an order change or order cancellation. Cancellations can only be made on orders that have not shipped and/or have not already been filled by either NorthStar or the provider of the product (which may be by way of sending you a download link and/or unlock code, or mailing you phsical goods). Please contact us via E-MAIL to change or cancel an order that has not yet been filled.
Unavailable items will be placed on back order while the remainder of your order will be shipped.
NorthStar offers a 21 day return policy (from the original invoice date) on selected items.
A $10.00 administrative fee will apply to all returns. When shipping charges have been added, the shipping charges are not refunded on returned items. The Customer is responsible for all shipping charges back to NorthStar on returned items. Refunds will be issued back to the original source of purchase or provided via a gift certificate equal to the amount due for refund, whichever you prefer.
Software that was provided via download or unlock code may only be returned upon NorthStar' receipt of a document stating you have completely removed the product from any computer it was installed on. You are also encouraged to contact the provider of said software first, to negotiate details about the refund.
All product returns must be in the original packaging and include all accessories, UPC codes, blank warranty cards, user manuals, and any other documentation that was provided by the manufacturer. If the returned package is incomplete, NorthStar reserves the right to reject the entire return or impose additional charges to replace the missing components.
Manufacture's/Provider's Warranty, Service, and Support
NorthStar does not offer technical support. All requests for technical support must be handled directly with the manufacturer or provider of the product in accordance with their terms and conditions.
